TalentHub Terms of Service
1. Acceptance of Terms of Service
1.1. Our website (www.talenthubpartners.com), platform and related services (collectively, the “Platform”) are operated and owned by TalentHub Holdings Limited (New Zealand), trading as TalentHub Partners (together “TalentHub”, “we”, “us” or “our”).
1.2. These Terms apply when you access or use the Platform or any related service (the “Service”). By doing so, you agree to be bound by these Terms. If you do not agree, you are not authorised to access or use the Service.
1.3. If you access or use the Service on behalf of another person or organisation, you confirm you are authorised to agree to these Terms on their behalf.
1.4. We may change these Terms at any time by posting an updated version on our Website. Continued use of the Service after changes constitutes acceptance.
2. Nature of the Service
2.1. The Platform and its intellectual property are operated by TalentHub Holdings Limited (New Zealand). The Platform may be used by TalentHub and its Partner agencies across Asia-Pacific to support recruitment services. In Japan, recruitment services are delivered exclusively by TalentHub Partners K.K. under the Employment Security Act and other applicable Japanese laws, with the Platform used only as a supporting tool. 2.2. The Platform is primarily used internally by TalentHub consultants. In certain circumstances, limited access may be provided to:
Clients – to view AI-powered market news, competitor and partner intelligence; to collaborate on referral prospect mapping and scouting;
Candidates – to receive AI-powered personalised advice, using TalentHub’s standard recruitment methodologies adapted to their CV and target role.
2.3. Any such access is provided solely for the purposes described above, under these Terms, and may be withdrawn at any time.
3. Use of AI
3.1. The Service incorporates artificial intelligence (AI) technologies to support recruitment activities. These may include:
Document parsing, matching and workflow automation;
Market news aggregation, translation and intelligence feeds;
Candidate CV and career guidance tailored using AI to TalentHub’s proprietary methodology;
Referral mapping and scoring to support client collaboration.
3.2. AI tools are operated in controlled, private environments (e.g. Google Workspace Gemini, OpenAI API) and are not consumer-facing tools.
3.3. Personal information is only processed in line with our Privacy Policy. AI use is limited to the purposes of delivering the Service and is subject to applicable privacy and data protection laws. AI outputs are reviewed by consultants and are not used as the sole basis for recruitment recommendations.
4. Your Obligations
4.1. You agree to use the Service:
only for lawful purposes;
only for the purposes for which access was granted;
in accordance with these Terms and our Acceptable Data Use Policy (at www.talenthubpartners.com/adup).
4.2. You must not:
misuse the Service, or use it in a way that undermines security or availability;
copy, reverse engineer or commercially exploit the Platform;
use the Service for unlawful, discriminatory, or surveillance purposes;
input or store Objectionable or misleading data;
use the Service in any way that attempts to circumvent these Terms, including by offering or receiving recruitment services outside TalentHub.
5. Data & Privacy
5.1. You remain responsible for ensuring any data you provide to us complies with privacy laws and that you have the right to provide it.
5.2. We may anonymise or aggregate data for analysis, research, or to improve the Service. Ownership of Analytical Data rests with TalentHub.
5.3. Data provided by you (such as comments, notes or referrals) will only be visible within your permitted instance of the Platform.
5.4. Our Privacy Policy (available on our Website) sets out how we collect, store and process personal information, including when AI is used. For Japanese users, processing will be carried out in accordance with the Act on the Protection of Personal Information (APPI).
6. Intellectual Property
6.1. All Intellectual Property Rights in the Service, Platform and AI methodologies remain the property of TalentHub or our licensors.
6.2. You retain ownership of any data you submit, but grant us a licence to use it for the purposes of delivering the Service.
7. Fees
7.1 Agency Services
Where you engage TalentHub directly for executive search, RPO, or other recruitment services, fees will be agreed in a separate service agreement. Fees are payable by the client organisation only, never by candidates, in accordance with relevant regulations.
7.2 Platform-Based Services
Where recruitment activity is conducted using the TalentHub Platform, fees are charged on a success-fee basis, reflecting hires or other outcomes achieved through use of the Platform. The applicable success-fee structure will be agreed in writing in advance. Platform access is provided solely to support recruitment delivery and is not licensed separately as SaaS, unless expressly stated in the service agreement. Fees are payable by the client organisation only, never by candidates, in accordance with relevant regulations.
7.3 Partner Agency Introductions
Where TalentHub acts only as the introducing party and a Partner agency delivers the recruitment service, you will contract directly with that Partner. In such cases, TalentHub does not charge you any fees; instead, TalentHub’s remuneration (if any) is agreed directly with the Partner. No fees of any kind will be charged to candidates, in accordance with relevant regulations.
8. Confidentiality
Each party must keep the other’s confidential information secure and not disclose it, except where required by law.
9. Warranties & Liability
9.1. We warrant that we will provide the Service with reasonable skill and care.
9.2. To the maximum extent permitted by law:
The Service is provided “as is” and “as available”;
We do not guarantee uninterrupted or error-free use;
Our liability is limited to the fees paid by you in the 12 months prior to the claim.
10. Termination
10.1. We may suspend or withdraw access to the Service if you breach these Terms.
10.2. Either party may terminate an engagement agreement in accordance with its terms.
11. General
11.1. These Terms are governed by New Zealand law. However, where services are provided in Japan by TalentHub Partners K.K., the Employment Security Act and other applicable Japanese laws shall apply.
11.2. Notices may be given by email or through the Platform.
11.3. These Terms set out the entire agreement relating to the Service, except where supplemented by a client engagement agreement.
